What is your current level of experience in freelance work?
We are seeking an experienced and detail-oriented freelance paralegal to support our fund formation practice. In this role, you will assist with drafting private placement memorandums, subscription agreements, and related offering documents, as well as preparing and filing Form D and other SEC compliance documents. The ideal candidate will have a strong working knowledge of Regulation D offerings, particularly those relying on the Section 3(c)(1) exemption under the Investment Company Act of 1940. You will work closely with our attorneys and investment managers to ensure the accurate and timely formation of private investment funds, including entity formation and regulatory filings. Responsibilities — Draft offering documents, including PPMs, LPAs, operating agreements, and subscription documents — Prepare and file Form D through the SEC’s EDGAR system — Assist with state Blue Sky filings via NASAA’s EFD system — Coordinate entity formation and maintenance (Delaware Secretary of State, registered agent portals, etc.) — Maintain document checklists and timelines for fund launches — Communicate with fund managers and legal counsel to gather and verify offering terms Technical Requirements — Proficiency with SEC EDGAR, including Form ID setup and Form D submissions — Experience with NASAA EFD system for Blue Sky filings — Familiarity with Delaware Division of Corporations portal and business entity filings — Ability to manage documents via cloud-based collaboration tools (e.g., Dropbox, Google Drive, DocuSign) — Strong formatting and drafting skills in Microsoft Word and PDF editing tools
