Overview: We are a Missouri-based S-Corporation consulting firm seeking expert legal guidance as we consider future structural changes. Our current team includes two employees and several full-time contractors. We’re exploring potential options such as transitioning to a partnership or implementing a profit-sharing model. Scope of Work: Strategic Legal Advisory - Advise on options: S-Corp vs. partnership vs. profit-sharing models - Explain pros, cons, and legal implications of each - Recommend the most compliant and tax-efficient structure Tax & Legal Documentation Review - Review existing tax filings, formation docs, and corporate records - Ensure all legal paperwork is in order and compliant with Missouri law Compliance & Risk Advisory - Identify any missing filings, licenses, or regulatory requirements - Review contracts (client, contractor, employee) for legal soundness - Evaluate liability coverage and risk exposure Employment Law & Policy Guidance - Review employee handbook and internal policies - Ensure employment practices align with federal and Missouri law Qualifications: - Licensed corporate attorney (Missouri preferred) - Strong understanding of S-Corp structures, partnership law, and tax implications - Proven experience advising on entity structuring, contracts, and employment law - Detail-oriented and clear communicator
