Stock Agreement and Lease Agreement Contract Events of Default
This project is about a business relationship in California between two parties, one side being former company shareholders who created an LLC to buy a building that they rent to a tenant who purchased their company. I am one of the former shareholders and LLC members. The other side is the new owner of a business where sales have declined significantly over the past couple of years. This is a relatively complex case. There is no easy solution. There have been several Events of Default of a Stock Purchase Agreement - none of them have yet passed their cure periods. A Lease Agreement may also have Events of Default in the future. Most defaults are related to payments that have not been made. A lawsuit has not yet been filed. I want to know what you believe would be the best resolution for all parties. Assume you are a special master conference judge and that your responsibility is to find a resolution. You should be an experienced contract law or commercial real estate attorney, perhaps a mediator or litigator. I do not need financial modeling at this time. I can send you a summary with relevant details to review to see if your skills and experience are appropriate, and if you have interest. This is a short project. I am not looking for a comprehensive written settlement agreement. I am looking a couple hours of your time to review my summary and then provide a written outline of a settlement agreement.
