Scope of Work: Review the provided ASP agreement (attached in Word format). Identify and flag any clauses that: Restrict our independent marketing/sales efforts. Prevent us from offering our services or products to their clients (now or in future). Limit our ability to sell competitor products or promote our own solutions. Reword these clauses in a way that: Maintains a cooperative service arrangement. Clearly preserves our freedom to engage independently with any client — including those of the principal. Deliver a clean, professional redline or track-changes version of the agreement ready for return. Optional: Provide a brief legal opinion or summary of key changes made. Outcome Desired: An edited version of the ASP Agreement that allows us to: Deliver services on their behalf where appropriate. Retain full commercial freedom to approach any client directly.
