Startup Attorney – SAFE Agreement Review
Description: We’re seeking an experienced startup or venture attorney to conduct a rapid legal review of a Y Combinator–style SAFE agreement (post-money, no discount, no MFN) in connection with our pre-seed raise. The company is Delaware-registered and preparing for future equity financing. Scope of Work: • Review a finalized SAFE agreement for founder-unfriendly terms • Advise on potential legal or strategic risks • Recommend any revisions to protect founders (especially around control, dilution, transfer rights, and jurisdiction) • Optional: assist with jurisdiction clause and future-proofing for next rounds Requirements: • 3+ years experience with early-stage startup financing • Familiarity with YC SAFE templates and fundraising norms • Flat-fee pricing preferred Timeline: Quick turnaround preferred (1–3 business days).
