Partnership Structure & Legal Strategy Consultant (S-Corp Focus)
We’re looking for an experienced consultant—ideally someone with both legal and financial expertise—to help us design and finalize a partnership buy-in and equity structure for our S-Corp. This includes advising on governance, ownership, tax implications, and reviewing a draft legal agreement. Your insights will help shape a sustainable, fair, and clear partnership model as we bring on new leadership and collaborators. What We Need Help With: Structuring partnership buy-in (e.g., lump sum, financing, sweat equity) Vesting schedules and contribution models (cash vs. equity) Tax considerations and implications specific to S-Corp structures Designing governance, management roles, and profit distribution Exit strategy planning Reviewing and improving a draft partnership agreement Identifying legal or strategic gaps in the draft and suggesting key provisions Ideal Consultant: Experience advising on partnership structures and business buy-ins Strong understanding of U.S. business law (particularly S-Corp regulations) Ability to work across both legal and financial strategy Comfortable collaborating with founders and legal counsel Clear, strategic communicator Timeline: Ideally completed within 2–3 weeks Start Date: ASAP To Apply: Please share: A short summary of your relevant experience Any case studies or examples of past work Your hourly rate or fixed-price preference Availability for a short intro call
