Job Title: CPA with M&A Tax Strategy Experience (S Corp – Tech Sector) About the Role We are seeking a highly experienced and strategic Certified Public Accountant (CPA) to develop a comprehensive tax strategy surrounding the anticipated 5+ million sale of a software business. The company is structured as an S corporation incorporated in Delaware with two California-based shareholders. This engagement requires a professional with a deep understanding of M&A tax planning, multi-state implications, and optimal structuring strategies to minimize tax liabilities. Key Deliverables The selected CPA will be responsible for the following: • Comprehensive Tax Strategy Plan: • Capital gains planning for both federal and state levels (especially California) • Entity structure analysis and restructuring opportunities pre-sale • Analysis of Section 1202, Section 338(h)(10), and installment sale options, if applicable • Charitable or estate planning opportunities tied to the transaction • AMT and NIIT implications • Scenario Modeling: • Tax impact simulations for different sale structures (stock sale, asset sale, merger, etc.) • Shareholder-level implications and planning opportunities • Compliance and Filing Recommendations: • Filing requirements in California and Delaware • Estimated tax payments and timelines • Presentation: • Final strategy to be presented in a clear, executive-ready format • Supplementary appendix with technical detail for tax/legal advisors Required Skills and Experience • CPA certification in good standing • Minimum 10 years of experience in tax planning for M&A transactions, with emphasis on tech companies and S corporations • Proven experience advising on transactions in the 5+ million range • Deep familiarity with California and Delaware tax laws • Experience with private company exits, especially for founders/shareholders • Ability to communicate complex tax concepts to executive-level stakeholders Preferred Skills • Big Four or national firm experience in M&A tax • JD or LLM in Taxation • Experience working with venture-backed or private equity-backed companies Application Requirements To be considered, please submit the following: • Resume • Cover letter summarizing your experience relevant to this role • A brief sample or outline of a past M&A tax strategy plan (sanitized if needed) • Two case studies or short summaries of previous clients where you successfully reduced tax burden on a major business sale • References from at least one recent client with a transaction above $40M Questions for Applicants 1.
