Job Overview: CineMed, a leading healthcare education company, is seeking a contract attorney with deep experience in SaaS and EdTech to support the review, development, and refinement of our legal agreements. We need a strategic legal partner who understands the nuances of IP ownership, content distribution, and revenue-sharing arrangements within the digital education and technology sectors. Our offerings span CME accreditation, eLearning development, and medical event production. As we scale, we’re entering into dynamic partnership models that require sophisticated legal insight—particularly for Master Service Agreements (MSAs), Statements of Work (SOWs), and unique licensing/distribution deals. What You'll Do: Review and revise MSAs, SOWs, and service agreements to align with our evolving business model. Draft and advise on profit-sharing clauses, IP ownership terms, and multi-party distribution frameworks. Provide redline feedback and practical recommendations for strengthening our legal position while maintaining client/partner appeal. Advise on risk mitigation strategies across custom software, content licensing, and hosted platform models. Collaborate with internal leadership to streamline legal language that aligns with our brand, values, and business objectives. Ideal Candidate: 5+ years legal experience in SaaS, EdTech, or digital content businesses. Deep familiarity with IP licensing, content distribution, hosted services, and technology law. Strong understanding of alternative monetization and partnership models (e.g., rev-share, white label, joint ventures). Ability to simplify legal concepts for internal stakeholders. Experience supporting fast-moving startups or growth-stage companies preferred. Engagement Details: Project-based with ongoing support needs (~10–20 hours/month initially). Fully remote with flexible communication. Must be able to turn around standard reviews within 3–5 business days.
