My partner and I are seeking brief but strategic legal counsel to help us navigate the transfer of funds and assets between two nonprofit organizations in Minnesota. Situation Overview: We recently began the process of forming a new nonprofit after partnering with an existing nonprofit to launch a special program. During our involvement, we raised significant funds and began paying down pre-existing debts of the former nonprofit, with the understanding that we would officially join their leadership. However, we later discovered mismanagement and potential dissolution of the former organization, and the leadership transition was never formally completed (no votes, no filed paperwork). We now seek to transfer the program-specific funds and assets we generated into our newly formed nonprofit so the funds can fulfill their original charitable purpose. We are looking for: Advice on how to legally and ethically transfer the program-specific funds and assets to our new nonprofit. Guidance on documentation we should prepare to support the transfer and protect ourselves from potential liability. Recommendations on how to formally disengage from the former nonprofit, ensuring we are not responsible for their pre-existing debts. General insight into any compliance or IRS considerations we should be aware of during this transition. Ideal Candidate: Experienced nonprofit attorney (preferably familiar with Minnesota nonprofit law and IRS regulations). The former non profit is based in Illinois. Strong understanding of 501(c)(3) financial stewardship, asset transfers, and organizational dissolution scenarios. Practical, solutions-oriented communicator who can help us move efficiently and ethically. Bonus: Experience with nonprofits undergoing leadership changes, restructuring, or dissolution. Scope: Initial consultation (estimated 1–3 hours) to review the situation and advise on next steps. Potential for limited follow-up support if needed (filings, draft agreements, etc.). We are eager to move quickly but want to ensure this transition is handled thoughtfully, legally, and in full alignment with the mission-driven spirit that motivated us to launch the special program in the first place.
