We are a rapidly growing entertainment and real estate company preparing for a $35M Regulation D offering and a $300M tokenized raise on the SEC 144A platform. We're seeking an experienced Fractional CFO to help finalize our investor materials, develop pro forma financials, and guide us through strategic planning as we scale. About Us: Our parent company, 12 Fountains Inc., owns multiple divisions, including: Five Stars Entertainment – Film, television, stage shows, streaming content Floodgate Properties – Real estate investments and tokenized property portfolios Five Stars Academy – Arts and character-based education for youth (to be accredited) Five Stars Talent Management – A soon-to-launch talent division managing in-house performers We've been operating for over a decade with an 11-year track record of responsible, values-driven entertainment. Our productions span film, television, live stage, and real estate-based projects. The business model is vertically integrated and designed to produce long-term income across multiple industries. We are currently pre-funded, but our first institutional investor has committed to a $500,000 angel investment, which is being used to finalize the offering and begin tokenization. Funding is expected within 90–120 days, and all roles, including this one, will convert to competitive compensation at that time. You will work directly with: Our founder (an experienced creative executive and business strategist) Oxana, our in-house bookkeeper, who manages QuickBooks and all historical entries A legal team managing the Reg D and 144A filings A strategic consultant familiar with tokenization and institutional capital Your Key Responsibilities: Prepare and finalize pro forma financials for all major divisions Develop investor-facing financial summaries for pitch decks and white papers Help structure the use-of-funds model aligned with each capital raise phase Create financial forecasts and scalable growth models (1-year, 3-year, 5-year) Liaise with our legal team on compliance-related financial documentation Review existing QuickBooks data and coordinate with Oxana for accuracy Provide insight into structuring a finance department as the company scales Ensure all documents are investor-ready for Qualified Institutional Buyers (QIBs) Preferred Experience: Prior CFO or fractional CFO roles in entertainment, real estate, or startups Experience with capital raises, especially Reg D and/or tokenized offerings Familiarity with institutional finance, private equity, or hedge fund reporting Ability to build and explain complex financial models clearly Bonus: Experience working with companies that integrate creative, educational, and real estate sectors Compensation: This is a pre-funding role, with future compensation at or above industry standards. We’re looking for someone who sees the potential and wants to be part of something meaningful and expansive. Future compensation packages (including bonuses or token equity options) can be discussed and documented during onboarding.
