Summary: We are seeking a highly experienced and reliable General Counsel to provide ongoing legal support on an hourly basis. This role will encompass a broad range of corporate and contract law matters, as well as general business legal guidance for ad hoc projects and requests. The ideal candidate will be a seasoned legal professional with a strong understanding of business operations and the ability to provide practical, timely, and effective legal advice remotely via email, text, phone, and video conferencing. This is a long-term opportunity for a flexible and communicative legal expert. Responsibilities: Corporate Law: Provide advice and counsel on various corporate law matters, including entity formation, governance, compliance, and regulatory issues. Assist with the preparation and review of corporate documents, such as bylaws, operating agreements, board resolutions, and shareholder agreements. Advise on mergers, acquisitions, and other strategic transactions (as needed). Ensure compliance with applicable state and federal corporate laws and regulations. Contract Law: Draft, review, negotiate, and interpret a wide variety of commercial contracts, including vendor agreements, customer agreements, service agreements, non-disclosure agreements (NDAs), and partnership agreements. Advise on contract disputes and potential breaches, and develop strategies for resolution. Ensure contracts are legally sound and protect the company's interests. General Business Legal Guidance: Provide legal advice and support on ad hoc projects and requests across various business functions. Identify and analyze potential legal risks and provide proactive solutions. Assist with intellectual property matters (e.g., trademarks, copyrights) as needed. Advise on employment law matters (e.g., independent contractor agreements, compliance with labor laws). Conduct legal research and analysis on various legal issues. Collaborate effectively with internal stakeholders and external advisors. Communication and Availability: Maintain consistent and reliable communication via email, text, phone, and video conferencing. Be responsive to legal inquiries and provide timely advice. Be available for scheduled and occasional ad hoc consultations as needed. Qualifications: Juris Doctor (JD) degree from an accredited law school. Admission to the bar in at least one of the following states: Virginia, North Carolina, or West Virginia (admission in multiple states is a plus). 2+ Years Experience
