We are seeking a U.S.-licensed business attorney to assist with a narrowly focused issue involving an LLC registered in New Hampshire and wholly owned by non-resident foreign nationals. As general counsel to the company, I handle intellectual property and general oversight, but I am looking to engage an attorney with experience in LLC governance to advise on the proper structuring of a unique membership arrangement. The client would like to formally admit a U.S.-domiciled individual as a member of the LLC, solely for practical purposes. The individual would have no management authority, voting rights, or economic interest in the company. The goal is to ensure that this limited role is clearly and effectively defined under New Hampshire LLC law. Scope of Work: - Advise on how to structure and document the admission of a nominal, non-controlling member. - Draft or review appropriate Operating Agreement provisions: - Limiting or disclaiming fiduciary duties, - Restricting voting and management authority, - Excluding profit or distribution rights, - Clarifying liability protections for the individual. - Identify any legal risks or unintended consequences under New Hampshire law. - Optionally, offer recommendations on how to make the role more clearly bounded and practically attractive to a prospective individual. Qualifications: U.S.-licensed attorney with experience in LLC law and member governance. Familiarity with New Hampshire LLC law is strongly preferred. Prior experience drafting Operating Agreements involving passive, non-controlling, or asymmetrical membership arrangements. Ability to collaborate with in-house counsel on a limited-scope project.
