Job Title: Real Estate Lawyer Needed to Review and Revise STR Contracts for Compliance in GA and AZ Job Description: We are MASTR INVESTMENTS LLC, a short-term rental (STR) support services company managing approximately 30 rentals in Georgia and 5 in Arizona. After realizing our prior operations—handling client funds and compliance—crossed into property management territory (requiring a broker’s license we don’t hold), we’re restructuring to operate solely as a compliant co-hosting/support services provider. Our goal is to minimize liability and ensure our contracts reflect this shift, positioning us as a support provider, not a property manager. We need a real estate law expert to review and refine two contracts: (1) our Owner-Service Provider Contract with homeowners and (2) a sample Owner-Guest Contract for mid-stay bookings (over 30 days). Below is the scope of work and key questions to address. Scope of Work: Contract Review and Revision: - Owner-Service Provider Contract: Review and revise our primary homeowner agreement to define us as a support service provider (e.g., assisting with setup, staging, listings, guest messaging, bookings, and maintenance coordination), not a property manager. We’ve shifted from collecting guest payments (now paid directly to homeowners) to earning a commission, and we’ve stopped handling taxes, utilities, or compliance. Propose revisions and draft language to reflect this model and reduce liability. - Owner-Guest Contract: Review and refine this sample agreement for mid-stay bookings (over 30 days) booked directly between homeowners and guests. Advise on structuring it to exclude us from the rental agreement process while securing compensation for facilitating these bookings. We no longer sign these contracts on behalf of homeowners to avoid property management classification. Operational Guidance: Evaluate and advise on refining our practices in: Fiduciary responsibilities (we no longer collect funds). Tax remittance (now homeowner-managed). Advertising/marketing compliance (avoiding listing agent status). Maintenance coordination (facilitated with homeowner approval). Recommend operational changes to further reduce our risk of being classified as property managers (e.g., tasks to avoid or restructure). Compliance Guidance: Ensure compliance with Georgia and Arizona real estate laws, focusing on avoiding property management classification. In GA, this includes collecting rent or negotiating leases; in AZ, the STR exemption (A.R.S. § 32-2121(A)(15)) applies to stays under 31 days but not longer stays or broader tasks. Conduct additional research as needed. Additional Miscellaneous Questions: Redundancies [Owner-Service Provider Contract]: Is Section 15 (likely a termination clause) redundant with other sections? Are there areas to consolidate for clarity? Capital Disbursement [Section 26]: Should capital disbursement details be moved to a separate document, given buildout services (setup/staging) differ from ongoing services (bookings/messaging)? Finders Fee/Commission: For mid-stay bookings (over 30 days), how should we structure compensation (e.g., as a “fee” or commission) in the Owner-Guest or Owner-Service Provider Contract? Should it be in an addendum? What ensures payment without implying property management? Additional Context: We’re reducing liability by directing guest payments to homeowners, stepping back from compliance tasks, and having homeowners handle rental agreements for stays over 30 days or direct bookings. Contracts should emphasize homeowner control while allowing us flexibility to assist broadly, avoiding legal gray areas. Deliverables: A detailed report analyzing both contracts, identifying compliance risks, and offering recommendations. Revised drafts of both contracts with suggested wording.
