We are seeking an experienced Legal Assistant or Paralegal with a strong background in business law, entity structuring, and internal sales agreements to assist in a strategic business sale. The objective is to facilitate the internal sale of a business to an employee or stakeholder while retaining full operational control and limiting the buyer’s authority over key decisions. Scope of Work: Assist in developing and executing a legal strategy for selling a business interest internally Structure agreements to ensure the original owner retains control over the business Draft or assist with the following documents: Shareholder/Member agreement with restrictions Voting vs. non-voting share structuring Buy-sell agreements Employment or management contracts Restrictive covenants (e.g., non-compete, non-solicit) Phantom equity or profit-sharing documents (if applicable) Ensure legal compliance and risk mitigation across all documentation Ideal Candidate Will Have: Experience with LLC or corporate structuring Familiarity with internal business sales, family business succession, or founder-retained control models Strong understanding of contract drafting and governance documents Excellent communication and documentation skills Ability to provide creative legal solutions within a business-focused framework
