We’re looking for a California-barred attorney (or someone highly experienced in California corporate law) to help us review and update corporate governance documents for a corporation. The shareholder structure mirrors a previous California corporation, and we have an existing shareholder agreement you'd be updating and adapting for the new entity. Scope of Work: • Review an existing shareholder agreement • Draft/revise a new agreement for the current corporation • Review/update bylaws and other corporate governance documents • Ensure compliance with California corporate law • Advise on best practices for shareholder rights, responsibilities, and dispute prevention Requirements: • Licensed attorney with strong experience in California corporate law • Prior work with small businesses or closely held corporations • Skilled in drafting shareholder agreements, bylaws, and related documents • Excellent attention to detail and ability to explain legal concepts clearly Project Type: One-time project (approx. 10–15 hours) Budget: Open to hourly or fixed-price proposals — please include your rate and estimated hours.
